年年卡(03773)与银盛通信订立框架协议

Zhitong Financial APP News, Annual Card (03773) announced that on December 14, 2021, the company entered into a framework agreement with its affiliated suppliers (Yinsheng Communications Co., Ltd. And its subsidiaries) to purchase these products (mobile phone bill recharge amount and mobile phone traffic recharge amount).

For the period from 26 October 2021 to 31 December 2023, connected suppliers are required to supply such products to the Group at the current market price. The company will pay the advance payment to the related supplier and refer the mobile phone bill recharge request received by the company, while the related supplier will process the mobile phone charge recharge request and deduct the value of the mobile phone charge recharge amount from the company's prepayment.

It is reported that Yinsheng Communications Co., Ltd. is 70% owned by Lin Jingyun's brother, and is mainly engaged in the sales of digital products, finance and value-added business in the communications industry.

It is reported that during the period from October 26, 2021 to December 31, 2021, and for each of the two financial years ending December 31, 2022 and 2023, the annual caps for continuing related party transactions are 120 million yuan, 700 million yuan and 864 million yuan, respectively.

According to the notice, the affiliated suppliers have supplied such products to the group for more than 8 years, and the group has not encountered any problems related to the products supplied by the affiliated suppliers in the past. The Group has been purchasing these products from affiliated suppliers to meet customers' requests for recharge of mobile phone charges and mobile traffic, so it has agreed to enter into a framework agreement to ensure the relationship with the related suppliers.

The Board believes that building strong relationships with experienced suppliers is an advantage and the Group has established long-term business relationships with associated suppliers. The conclusion of a framework agreement will help ensure that the Group can use a more convenient and efficient network provider and a better quality of service. The Board is also of the view that the framework agreement can ensure a stable supply of these products, which is essential to the operation of the Group.
