建发股份拟5亿元参设公司,从事航空货物运输以及有关业务

On August 31st, Capital State learned that A-share company Jianfa shares (600153.SH) invested abroad to set up a joint venture.

In order to distribute core logistics resources and help the development of the company's cross-border e-commerce and other consumer goods supply chain business, on August 28, 2021, the company signed a "joint venture contract" with Xiamen Aviation Co., Ltd. (Xiamen Airlines) and Fujian Longteng Network Co., Ltd. (tentative name). The company plans to jointly invest with Xiamen Airlines and Zhangteng Network to set up Shangzhou Aviation Logistics Co., Ltd. Subject to the actual approval of the administrative department for industry and commerce (hereinafter referred to as: Shangzhou Logistics), the registered capital is 1 billion yuan, of which the company contributes 501 million yuan in cash, accounting for 50.1% of the registered capital. Xiamen Airlines contributed a total of 379 million yuan in kind such as buildings, equipment and facilities, land use rights and cash, accounting for 37.9% of the registered capital, while Zhong Teng Network contributed 120 million yuan in cash, accounting for 12.0% of the registered capital. Merchant ship Logistics will be mainly engaged in air cargo transport and related business.

As the controlling shareholder of the company, Xiamen Jianfa Group Co., Ltd. (hereinafter referred to as: Jianfa Group), Chairman Huang Wenzhou and Deputy General Manager Wang Wenhuai serve as directors of Xiamen Airlines, according to the provisions of the Stock listing rules, Xiamen Airlines is an affiliated legal person of the company, this transaction constitutes a related transaction.

Up to this related party transaction, in the past 12 months, in addition to the related party transactions that have been submitted to the shareholders' general meeting for consideration and approval, the actual amount of related party transactions between the company and the same related party or related transactions related to the subject matter of transactions between different related parties has not reached 5% of the absolute value of the company's latest audited net assets.
