Possible Bearish Signals With Privia Health Group Insiders Disposing Stock

Simply Wall St ·  May 12 10:39

Privia Health Group, Inc. (NASDAQ:PRVA) shareholders may have reason to be concerned, as several insiders sold their shares over the past year. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, if numerous insiders are selling, shareholders should investigate more.

While insider transactions are not the most important thing when it comes to long-term investing, logic dictates you should pay some attention to whether insiders are buying or selling shares.

Privia Health Group Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when the CEO & Director, Parth Mehrotra, sold US$225k worth of shares at a price of US$18.42 per share. That means that an insider was selling shares at around the current price of US$17.97. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. We note that this sale took place at around the current price, so it isn't a major concern, though it's hardly a good sign.

Insider Ownership Of Privia Health Group

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It's great to see that Privia Health Group insiders own 7.9% of the company, worth about US$170m. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

Insiders sold stock recently, but they haven't been buying. And even if we look at the last year, we didn't see any purchases. But since Privia Health Group is profitable and growing, we're not too worried by this. It is good to see high insider ownership, but the insider selling leaves us cautious.
