Bentley Systems Insiders Made A Wise Decision By Selling US$7.2m Worth Of Stock

Simply Wall St ·  Apr 22 07:14

Despite the fact that Bentley Systems, Incorporated (NASDAQ:BSY) stock rose 10% last week, insiders who sold US$7.2m worth of stock in the previous 12 months are likely to be better off. Selling at an average price of US$45.66, which is higher than the current price, may have been the wisest decision for these insiders as their investment would have been worth less now than when they sold.

Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Last 12 Months Of Insider Transactions At Bentley Systems

The CEO, President & Chairman of the Board, Gregory Bentley, made the biggest insider sale in the last 12 months. That single transaction was for US$5.9m worth of shares at a price of US$45.59 each. That means that an insider was selling shares at slightly below the current price (US$52.46). When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. This single sale was just 1.5% of Gregory Bentley's stake.

In the last year Bentley Systems insiders didn't buy any company stock. You can see a visual depiction of insider transactions (by companies and individuals) over the last 12 months, below. If you want to know exactly who sold, for how much, and when, simply click on the graph below!

Insider Ownership

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. We usually like to see fairly high levels of insider ownership. Bentley Systems insiders own about US$7.7b worth of shares (which is 47% of the company). I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.

So What Do The Bentley Systems Insider Transactions Indicate?

The fact that there have been no Bentley Systems insider transactions recently certainly doesn't bother us. It's heartening that insiders own plenty of stock, but we'd like to see more insider buying, since the last year of Bentley Systems insider transactions don't fill us with confidence. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company. Case in point: We've spotted 1 warning sign for Bentley Systems you should be aware of.
