Trade Alert: Independent Director Of American Public Education Jean Halle Has Sold Stock

Simply Wall St ·  Mar 16 10:00

We'd be surprised if American Public Education, Inc. (NASDAQ:APEI) shareholders haven't noticed that the Independent Director, Jean Halle, recently sold US$139k worth of stock at US$11.68 per share. That sale was 35% of their holding, so it does make us raise an eyebrow.

The Last 12 Months Of Insider Transactions At American Public Education

In fact, the recent sale by Jean Halle was the biggest sale of American Public Education shares made by an insider individual in the last twelve months, according to our records. So it's clear an insider wanted to take some cash off the table, even below the current price of US$12.36. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. This single sale was just 35% of Jean Halle's stake.

Over the last year, we can see that insiders have bought 79.00k shares worth US$315k. But insiders sold 50.03k shares worth US$389k. Over the last year we saw more insider selling of American Public Education shares, than buying. Insider Ownership Of American Public Education

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Insiders own 4.0% of American Public Education shares, worth about US$8.7m, according to our data. Whilst better than nothing, we're not overly impressed by these holdings.

So What Do The American Public Education Insider Transactions Indicate?

Insiders sold stock recently, but they haven't been buying. Despite some insider buying, the longer term picture doesn't make us feel much more positive. Insiders own relatively few shares in the company, and when you consider the sales, we're not particularly excited about the stock. We'd certainly practice some caution before buying! So while it's helpful to know what insiders are doing in terms of buying or selling, it's also helpful to know the risks that a particular company is facing.
