Patterson-UTI Energy Insiders Sold US$4.1m Of Shares Suggesting Hesitancy

Simply Wall St ·  Mar 15 06:59

The fact that multiple Patterson-UTI Energy, Inc. (NASDAQ:PTEN) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, if numerous insiders are selling, shareholders should investigate more.

Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.

Patterson-UTI Energy Insider Transactions Over The Last Year

The Director, Robert Drummond, made the biggest insider sale in the last 12 months. That single transaction was for US$3.0m worth of shares at a price of US$11.76 each. That means that an insider was selling shares at around the current price of US$11.51. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. In this case, the big sale took place at around the current price, so it's not too bad (but it's still not a positive).

Insider Ownership

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. We usually like to see fairly high levels of insider ownership. Patterson-UTI Energy insiders own about US$76m worth of shares. That equates to 1.6% of the company. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

So What Does This Data Suggest About Patterson-UTI Energy Insiders?

An insider sold stock recently, but they haven't been buying. And there weren't any purchases to give us comfort, over the last year. But since Patterson-UTI Energy is profitable and growing, we're not too worried by this. While insiders do own shares, they don't own a heap, and they have been selling. We'd practice some caution before buying! So while it's helpful to know what insiders are doing in terms of buying or selling, it's also helpful to know the risks that a particular company is facing.
