Simply Wall St ·  Mar 15 06:42

Some BigBear.ai Holdings, Inc. (NYSE:BBAI) shareholders may be a little concerned to see that the Independent Director, Avishay Katz, recently sold a substantial US$620k worth of stock at a price of US$2.48 per share. That sale reduced their total holding by 35% which is hardly insignificant, but far from the worst we've seen.

The Last 12 Months Of Insider Transactions At BigBear.ai Holdings

Notably, that recent sale by Avishay Katz is the biggest insider sale of BigBear.ai Holdings shares that we've seen in the last year. So what is clear is that an insider saw fit to sell at around the current price of US$2.44. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. Given that the sale took place at around current prices, it makes us a little cautious but is hardly a major concern.

Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Insiders own 1.8% of BigBear.ai Holdings shares, worth about US$9.9m, according to our data. However, it's possible that insiders might have an indirect interest through a more complex structure. Overall, this level of ownership isn't that impressive, but it's certainly better than nothing!

So What Does This Data Suggest About BigBear.ai Holdings Insiders?

Insiders sold stock recently, but they haven't been buying. Despite some insider buying, the longer term picture doesn't make us feel much more positive. Insiders own relatively few shares in the company, and when you consider the sales, we're not particularly excited about the stock. So we'd only buy after very careful consideration. So while it's helpful to know what insiders are doing in terms of buying or selling, it's also helpful to know the risks that a particular company is facing.
