Have Insiders Sold CRA International Shares Recently?

Simply Wall St ·  Mar 13 15:30

We'd be surprised if CRA International, Inc. (NASDAQ:CRAI) shareholders haven't noticed that the Independent Director, Thomas Avery, recently sold US$138k worth of stock at US$138 per share. On the bright side, that sale was only 6.1% of their holding, so we doubt it's very meaningful, on its own.

The Last 12 Months Of Insider Transactions At CRA International

Notably, that recent sale by Thomas Avery is the biggest insider sale of CRA International shares that we've seen in the last year. That means that an insider was selling shares at below the current price (US$141). When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. We note that the biggest single sale was only 6.1%of Thomas Avery's holding.

Insider Ownership Of CRA International

For a common shareholder, it is worth checking how many shares are held by company insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. CRA International insiders own about US$43m worth of shares. That equates to 4.4% of the company. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

So What Does This Data Suggest About CRA International Insiders?

An insider sold CRA International shares recently, but they didn't buy any. And there weren't any purchases to give us comfort, over the last year. While insiders do own shares, they don't own a heap, and they have been selling. We're in no rush to buy! So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company. While conducting our analysis, we found that CRA International has 1 warning sign and it would be unwise to ignore this.
