Possible Bearish Signals With Element Solutions Insiders Disposing Stock

Simply Wall St ·  Feb 18 07:58

Many Element Solutions Inc (NYSE:ESI) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. When evaluating insider transactions, knowing whether insiders are buying versus if they selling is usually more beneficial, as the latter can be open to many interpretations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we would consider it foolish to ignore insider transactions altogether.

Element Solutions Insider Transactions Over The Last Year

The insider, Michael Goralski, made the biggest insider sale in the last 12 months. That single transaction was for US$534k worth of shares at a price of US$19.07 each. That means that an insider was selling shares at slightly below the current price (US$23.86). We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. This single sale was just 18% of Michael Goralski's stake.

Does Element Solutions Boast High Insider Ownership?

For a common shareholder, it is worth checking how many shares are held by company insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Element Solutions insiders own about US$442m worth of shares (which is 7.7% of the company). Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
