(“Linkong Private Equity Fund”) and Linqu County High-tech Industry Investment Co., Ltd. (“High-tech Industry Investment”) (collectively, the “Investors”) Stock expansion, as agreed by all parties It was confirmed that the investors plan to increase the total amount of capital to Lanfan Baisheng by RMB 900 million in cash, and to subscribe to Lanfan Baisheng with an additional registered capital of 22,9345.11 million yuan, corresponding to 18.3673% of Lanfan Baisheng's total shares after this capital increase transaction. At the same time, the company, as the founding shareholder, can transfer its claims of Lanfan Baisheng by 600 million yuan to shares according to the plan approved by the investor. After the capital increase and the debt-to-share swap is completed, the post-investment valuation of Lanfan Baisheng will be 55 to 5.7 billion yuan, and the company's shareholding ratio in Lanfan Baisheng is between 83.64% and 84.21%.
The company and its wholly-owned subsidiary Bluesail New Valve Technology HK Limited (“NVTHK”), as existing shareholders of Lanfan Baisheng, relinquished the priority subscription rights for this capital increase. After the capital increase is completed, Lanfan Baisheng's registered capital will increase from RMB 1019.31.16 million to RMB 12,48656.71 million, and the company's shareholding ratio in Lanfan Baisheng will be changed from 100% to 81.6327%. The company remains the controlling shareholder of Lanfan Baisheng and has actual control over Lanfan Baisheng.
