PVH Repeat Insider Selling Not A Positive Indicator

Simply Wall St ·  Nov 15, 2023 11:44

PVH Corp. (NYSE:PVH) shareholders may have reason to be concerned, as several insiders sold their shares over the past year. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.

PVH Insider Transactions Over The Last Year

The Executive VP & Controller, James Holmes, made the biggest insider sale in the last 12 months. That single transaction was for US$330k worth of shares at a price of US$74.68 each. That means that even when the share price was below the current price of US$81.35, an insider wanted to cash in some shares. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. It is worth noting that this sale was 91% of James Holmes's holding.

In the last year PVH insiders didn't buy any company stock. You can see the insider transactions (by companies and individuals) over the last year depicted in the chart below. By clicking on the graph below, you can see the precise details of each insider transaction!

Does PVH Boast High Insider Ownership?

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. We usually like to see fairly high levels of insider ownership. Insiders own 0.4% of PVH shares, worth about US$20m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

So What Do The PVH Insider Transactions Indicate?

The fact that there have been no PVH insider transactions recently certainly doesn't bother us. We don't take much encouragement from the transactions by PVH insiders. The modest level of insider ownership is, at least, some comfort. In addition to knowing about insider transactions going on, it's beneficial to identify the risks facing PVH.
