THE AUDIT AND RISK COMMITTEE, AS THE BOARD'S PROFESSIONAL AUDIT BODY, WILL OVERSEE THE COMPANY'S INTERNAL AND EXTERNAL AUDIT WORK, REVIEW THE FINANCIAL REPORTING SYSTEM, RISK MANAGEMENT SYSTEM, AND REPORT TO THE BOARD ON PROGRESS.
