The committee is primarily responsible for formulating remuneration policies for the company's directors and senior management. The Committee shall consist of at least three directors, most of whom shall be independent non-executive directors and shall be appointed by the Board of Directors as Chairman of the Committee. The Committee's responsibilities include making recommendations on remuneration policies to the Board, reviewing management remuneration recommendations, setting the remuneration treatment for individual directors and senior management, and reviewing and approving compensation arrangements for directors and managers. Committee members are required to disclose any conflicts of interest and abstain from voting in the event of a conflict of interest.
