Many ICF International, Inc. (NASDAQ:ICFI) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

While insider transactions are not the most important thing when it comes to long-term investing, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At ICF International

The Independent Director, Michael Van Handel, made the biggest insider sale in the last 12 months. That single transaction was for US$518k worth of shares at a price of US$130 each. That means that even when the share price was below the current price of US$133, an insider wanted to cash in some shares. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. However, while insider selling is sometimes discouraging, it's only a weak signal. It is worth noting that this sale was only 25% of Michael Van Handel's holding.

ICF International Insiders Are Selling The Stock

The last three months saw significant insider selling at ICF International. In total, Lead Independent Director Srikant T. Datar dumped US$81k worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.

Insider Ownership

Many investors like to check how much of a company is owned by insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. Insiders own 2.4% of ICF International shares, worth about US$60m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

So What Does This Data Suggest About ICF International Insiders?

An insider hasn't bought ICF International stock in the last three months, but there was some selling. And even if we look at the last year, we didn't see any purchases. But it is good to see that ICF International is growing earnings. While insiders do own shares, they don't own a heap, and they have been selling. We'd practice some caution before buying! So while it's helpful to know what insiders are doing in terms of buying or selling, it's also helpful to know the risks that a particular company is facing.
