Fair Isaac Insiders Sold US$18m Of Shares Suggesting Hesitancy

Fair Isaac Insiders Sold US$18m Of Shares Suggesting Hesitancy

Fair Isaac Insiders

Over the past year, many Fair Isaac Corporation (NYSE:FICO) insiders sold a significant stake in the company which may have piqued investors' interest. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

While insider transactions are not the most important thing when it comes to long-term investing, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At Fair Isaac

Fair Isaac

Over the last year, we can see that the biggest insider sale was by the Independent Director, James Kirsner, for US$3.5m worth of shares, at about US$700 per share. That means that even when the share price was below the current price of US$1,260, an insider wanted to cash in some shares. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. We note that the biggest single sale was only 25% of James Kirsner's holding.

Insider Ownership Of Fair Isaac

Many investors like to check how much of a company is owned by insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Fair Isaac insiders own about US$877m worth of shares (which is 2.8% of the company). I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
