Since Gansu Province did not have a provincial corporate city commercial bank at the time, in order to promote Gansu's economic development, the Gansu Provincial People's Government decided to establish a provincial corporate city commercial bank on the basis of Baiyin Commercial Bank and Pingliang Commercial Bank. Therefore, on May 30, 2011, 25 legal entities (including large and medium-sized state-owned enterprises in Gansu Province and private enterprises inside and outside of Gansu Province) and representatives of all shareholders of Baiyin Commercial Bank and representatives of all shareholders of Pingliang Commercial Bank jointly signed the “Dunhuang Bank Co., Ltd. Sponsor Agreement”. According to the agreement, 25 legal entities invested in currency, and all shareholders of Baiyin Commercial Bank and all shareholders of Pingliang Commercial Bank invested with assessed net assets of Baiyin Commercial Bank and Pingliang Commercial Bank to jointly initiate the establishment of Dunhuang Bank Co., Ltd. On August 24, 2011, the General Office of the People's Government of Gansu Province approved the change of the name of the bank to be established from “Dunhuang Bank Co., Ltd.” to “Bank of Gansu Co., Ltd.” On September 27, 2011, the former China Banking Insurance Regulatory Commission approved the Bank's preparations. On November 18, 2011, the Gansu Regulatory Bureau of the former China Banking Insurance Regulatory Commission approved the opening of the Bank and agreed that Baiyin Commercial Bank, Pingliang Commercial Bank and their branches would be changed to Baiyin Branch, Pingliang Branch and their branches respectively. On the same day, the Bank was issued a corporate legal person business license issued by the Gansu Administration for Industry and Commerce, and the Bank was formally established in accordance with the “Company Law of the People's Republic of China”. The Company is the only provincial corporate urban commercial bank in Gansu Province. The Bank's registered address is No. 525-1, Donggang West Road, Chengguan District, Lanzhou City, Gansu Province, China. The Bank has established a principal place of business in Hong Kong (address is 40/F, Daxin Financial Centre, 248 Queen's Road East, Wan Chai, Hong Kong) and registered as a non-Hong Kong company under Part 16 of the Companies Ordinance on June 28, 2017. The Bank has appointed Mr. Wong Wai-chiu as the Bank's agent for receiving legal process documents and notices in Hong Kong on behalf of the Bank. The Bank's address for receiving legal process documents in Hong Kong is the same as the Bank's principal place of business in Hong Kong. Since the Bank was founded in China, the Bank's corporate structure and articles of association are governed by relevant Chinese laws and regulations. The Bank conducts banking business in China under the supervision and regulation of the State Financial Supervisory Administration and the People's Bank of China. The Bank is not an authorized institution as defined in the Banking Ordinance, is not subject to the supervision of the Hong Kong Monetary Authority, and is not permitted to conduct banking and/or deposit taking business in Hong Kong. The Bank's H shares were listed on the main board of the Hong Kong Stock Exchange on January 18, 2018.
