China Goldstone Mining Holdings Limited (the “Company”) was initially incorporated as an exempted limited company in the Cayman Islands under the Companies Act, Chapter 22 of the Laws of the Cayman Islands (Act No. 3 of 1961, as consolidated and amended). On August 10, 2016, by deregistering in the Cayman Islands, the company's place of registration was changed to Bermuda and continued as an exempted company under Bermuda law. The Company's shares (“Shares”) were listed on the main board of the Stock Exchange of Hong Kong Limited (the “Stock Exchange”) on March 18, 2011. The Company and its subsidiaries (the “Group”) are mainly engaged in the production and sale of marble slag and the trading of marble slabs in China. As a mining operator focusing on marble slag mining, the Group owns the mine with the largest reserves of beige marble in the country (according to a certificate issued by the China Stone Association in 2010), namely the Zhangjiaba mine located in Jiangcun, Xiangxiang Township, Jiangyou City, Sichuan Province, China. The mining license for the Zhangjiaba mine expired on February 21, 2021. The renewed license was issued on March 7, 2022, and is valid from February 21, 2021 to February 21, 2026. In December 2021, the Company launched a franchise business relating to the “New Food and Beverage Consumption Model” to prepare and distribute food from online restaurant brands to consumers in the UK. Online restaurant brands can distribute takeout food made from a central kitchen, or they can operate independent brands that make food from existing restaurants.
