About VANKE OVERSEAS Company

The Company is a limited liability company incorporated under the laws of the Cayman Islands, and its shares have been listed on the Stock Exchange of Hong Kong Limited (stock code: 1036.HK) since November 1996. In May 2012, Vanke Properties (Hong Kong) Limited (“Vanke Properties (Hong Kong)”) signed an agreement to acquire a controlling interest in the Company. The acquisition was completed in July 2012. Since then, the Company has become a 75% shareholding subsidiary of Vanke Enterprise Co., Ltd. (“Vanke”). Vanke is a limited company incorporated in the People's Republic of China. Its H shares and A shares are listed on the Hong Kong Stock Exchange (stock code: 2202.HK) and the Shenzhen Stock Exchange (stock code: 000002.SE), respectively. Vanke Properties (Hong Kong) is a wholly owned subsidiary of Vanke. In December 2012, the company held a special shareholders' meeting to vote on changing the company name from Nanlian Real Estate Holdings Co., Ltd. to Vanke Real Estate (Overseas) Co., Ltd. The relevant resolution was passed by shareholders' votes. The company has now changed its name to Vanke Real Estate (Overseas) Co., Ltd., and the English name is: Vanke Property (Overseas) Limited.
