Yihe Precision Industries Holdings Limited (the “Company”) was registered as an exempt limited company in the Cayman Islands on July 12, 2004 under Chapter 22 of the Cayman Islands Companies Act (section 3, consolidated and amended). The company's registered address is Cricket Square, Hutchins Drive, P.O. Box 2681, Grand Cayman KY1-1111, Cayman Islands. The Company and its subsidiaries (the “Group”) began their business in 1993. The first business was mold production. They are mainly engaged in high-precision production services, focusing on the production of high-quality and accurately sized molds and parts. The Company has been listed on the main board of the Hong Kong Stock Exchange Limited (“Stock Exchange”) since May 11, 2005. The Group is a vertically integrated one-stop precision manufacturing service provider. The Group's current business mainly includes: i) designing and manufacturing precision metal stamping and plastic injection molds; ii) using customized molds and other high-end processes to manufacture precision metal and plastic parts; iii) lathe processing of metal parts; and iv) assembling precision metal and plastic parts manufactured by the Group into semi-finished products or manufactured products using automation technology such as laser welding and machine assembly lines. The Group's business model is unique and different from general OEM/ODM. At the beginning of product development, the Group's brand customers generally require the Group to jointly develop molds with them, and after manufacturing, the relevant molds will be stored in the Group's industrial park to be used for mass manufacturing of parts and semi-finished products in the future, and further assembled into manufactured products by the Group. Since the production of precise and accurate molds, parts and semi-finished products requires the investment of a large amount of technology and high-end engineering capabilities, the bargaining power of the Group's products has been greatly enhanced. After years of operation, the Group has developed into a one-stop integrated enterprise, engaged in two main businesses, namely office automation equipment business and auto parts business, and has manufacturing bases in China, Southeast Asia and North America. The office automation equipment business is committed to providing design and electronic manufacturing services (“D-EMS”) for many leading brands of office automation equipment on the market. It aims to provide a one-stop solution covering the design and development of complete machine products (printers and photocopiers) and related molds, precision mold production and mass manufacturing of parts to be assembled into semi-finished products and manufactured products (that is, complete machine assembly). The Group has manufacturing bases in Shenzhen, Suzhou, Weihai and six industrial parks in Haiphong, Vietnam. The auto parts business is committed to providing mold and product manufacturing for world-renowned first-class suppliers, OEMs and automobile manufacturers in the industry. The Group focuses on the platformization of automobiles and supplies highly compatible platform parts and general components to customers, thereby reducing costs, maximizing profits, and improving global flexibility, so as to quickly expand the production of commonly used models to other factories with the same platform. The main products in this business include but are not limited to new energy related products such as automobile seat frame systems, high-strength beam frames and chassis structural parts, and automotive three-electric system structural parts. Independent of the office automation equipment business, the auto parts business operates in six industrial parks located in Shenzhen, Zhongshan, Chongqing, Sichuan, Wuhan, and San Luis Potosi, Mexico.
