Shenyang Public Utilities Development Co., Ltd. was established as a limited company in Shenyang, People's Republic of China (“China”) by way of initiation on July 2, 1999, with Shenyang Public Utilities Group Co., Ltd. (“Public Company”) as the sole sponsor. In December 1999, the company issued a total of 420,400,000 H shares with a face value of RMB 1.00 per share to international investors through placement and public sale. The sale price was HK$1.70 per share. On December 16, 1999, the company's H shares were listed on the Hong Kong Stock Exchange Limited (the “Stock Exchange”). Currently, the company's registered capital is RMB 1,020,400,000. In March 2009, 600,000,000 domestic shares of the company held by the public utility company were transferred to Beijing Mingde Guangye Investment Consulting Co., Ltd. (“Beijing Mingde”). On December 10, 2012, the company's 600,000,000 domestic shares held by Beijing Mingde were transferred to Shenzhen Jinma Asset Management Co., Ltd. (“Shenzhen Jinma”). The Group is mainly engaged in infrastructure construction business.
