(1) Status of establishment The predecessor of Everbright Environment, “New Placement Co., Ltd.” was established in 1961, then changed its name to “Ningfa International Co., Ltd.” in 1989. (2) Historical evolution and changes In 1993, after China Everbright Group took a stake in “Ningfa International Co., Ltd.” and became its controlling shareholder, the company name was changed to “China Everbright International Co., Ltd.” in the same year, and changed its name to “China Everbright Environment (Group) Co., Ltd.” in 2020. After undergoing business and asset restructuring, Everbright Environment and its subsidiaries were formally established in the field of environmental protection and green energy in 2003. On December 30, 2013, the issuer signed a framework agreement with the SGX listed company “HankoreEnvironmentTechGroupLimited (Hanko Environmental Technology Group Co., Ltd.,” “Hanke Environmental Technology Group Co., Ltd.”, stock code U9E.SG) to sell the issuer's environmentally friendly water assets to Hanke Environment, and Hanke Environmental issues shares to the issuer as consideration for the acquisition. On December 12, 2014, after the completion of the aforementioned transaction, the issuer became the controlling shareholder of Hanke Environmental and changed the name of Hanke Environmental to “ChinaEverbrightwaterLimited (China EverbrightwaterLimited)”. So far, Everbright Water is listed on the Singapore Stock Exchange. On May 8, 2019, Everbright Water was officially listed on the main board of the Stock Exchange (stock code 1857.HK), successfully achieving a dual listing between Singapore, China and Hong Kong. As of the date of signing of the prospectus, the issuer held 72.87% interest in Everbright Water and was a shareholder of Everbright Water Holdings. In order to better identify and establish the value of the green environmental protection business as an independent enterprise, the issuer separated the three segments of the green environmental protection division, namely biomass comprehensive utilization business, hazardous waste and solid waste disposal business, and photovoltaic power generation and wind power business from the issuer's business system. In this context, on October 13, 2015, Everbright Green was registered as an exempted limited company under the Cayman Islands Companies Act as a listed entity in the three segments of the issuer's Green Environmental Protection Division. On May 8, 2017, Everbright Green was listed on the main board of the Stock Exchange (stock code 1257.HK). As of the date of signing of the prospectus, the issuer has 69.70% interest in Everbright Green Environmental Protection and is the shareholder of Everbright Green Holdings.
