Guorui Properties Limited (the "Company") is a public limited company incorporated in Hong Kong and its shares have been listed on the Stock Exchange of Hong Kong Limited (the "Stock Exchange") since February 1973. In February 2014, the Company allotted 395920914 shares to Wintime Company Limited at a price of HK $1.00 per share. Currently, Wintime Company Limited and Mr. Sun Zhongmin (Mr. Sun) hold 360288031 shares (equivalent to 68.25% interest in the issued share capital of the Company) and 35632880 shares in the Company (equivalent to 6.75% interest in the issued share capital of the Company) respectively. Wintime Company Limited is wholly owned by Mr. Wei Chunyi ("Mr. Wei"). Mr. Wei and Mr. Sun are both directors and shareholders of Beijing Guorui Holdings Limited (a company established under PRC law) ("Beijing Guorui"). At present, Mr. Wei is the chairman and executive director of the Company and Mr. Sun is also the executive director of the Company. Beijing Guorui was established in Beijing, China. Through its subsidiaries, it is mainly engaged in property development and investment in Beijing, specializing in boutique real estate and commercial comprehensive development projects. At this stage, the financial resources of the Company and its subsidiaries (collectively referred to as the "Hong Kong Guorui Group") come from leasing properties located in the people's Republic of China (excluding Hong Kong) (the "PRC"). In May 2015, the Company successfully acquired Beijing Aoxi Business Management Co., Ltd., thus expanding the property management business segment. Looking ahead, the Company intends to continue to operate the Group's existing property investment, hotel management business and property management business. The Company may review the existing business and / or operation direction of the Hong Kong Guorui Group from time to time and may make relevant changes in the light of the review. In addition, the management of the Hong Kong Guorui Group will closely monitor the market and seize the opportunity to adopt appropriate measures and strategies to strive for the best return for shareholders.
