SeedlyFest 2023 Moomoo SG Promotions and Booth Activities Terms and Conditions - April 2023

These terms and conditions (“Terms and Conditions”) shall apply to the SeedlyFest 2023 Moomoo SG Promotions ("Promotions") and Booth Activities (“Activities”) organized by Moomoo Financial Singapore Pte. Ltd. (“Moomoo SG”), a subsidiary of Futu Holdings Limited (“Organiser”).

Section 1: SeedlyFest 2023 Moomoo SG Promotions

Promotion Period

1. The promotion will be held between 15 April 2023 at 09:00 SGT and 15 April 2023 at 18:30 SGT, both timings inclusive ("Promotion Period").

2. The promotion will take place only at the offline event, Seedly Personal Finance Festival 2023 ("SeedlyFest" or "Event"), and is applicable only to attendees of SeedlyFest ("Participants"). Online participants of this event, if applicable, shall not be eligible to participate.

Promotions Summary

New User Promotion

a. Participants of SeedlyFest who have not opened a Moomoo Singapore Universal account ("Moomoo SG Account") and/or deposited before 15 April 2023, 08:59 SGT, are eligible to participate in this promotion. ("New Users").

b. New users will be awarded the following rewards if they complete the following tasks outlined in the table respectively during the promotion period.

*New users who deposit S$100 or above into their Moomoo SG account before 31/5/2023, 11:59 AM SGT, and ensure that they hold positions of any assets type (i.e. cash, stocks, bonds etc) of at least S$100 / US$75 / HK$600 or above for 10 days, can get S$2 cash coupons every day.

**Please note that customers who have deposited a cumulative amount of S$2,000 / US$ 1,525 / HK$ 12,000 before 31/5/2023, 11:59 AM SGT & complete at least 2 buy trades before 07/06/23, 11:59 PM SGT, will receive 1 Coca-cola share (NYSE:KO) value worth around S$80 (US$61.330 as of 1st Feb 2023's closing price). The reward value will fluctuate based on market conditions. This campaign has nothing to do with any company and its affiliates that are rewarded with shares.

To receive the share, user needs to deposit and maintain daily assets (cash, stocks and other assets included) of S$2,000 / US$ 1,525 / HK$ 12,000 for 30 days. Due to stock price fluctuations, the total asset value is allowed to drop by 30% from the stated amount. If you have any questions, please contact our online customer service team. This campaign has nothing to do with any company and its affiliates that are rewarded with shares.

^Please note that customers who have deposited a cumulative amount of S$10,000 / US$ 7,625 / HK$ 60,000 before 31/5/2023, 11:59 AM SGT & complete a cumulative of at least 7 buy trades before 07/06/23, 11:59 PM SGT will receive 1 S$108 cash coupon.

To receive the cash coupon, user needs to deposit and maintain daily assets (cash, stocks and other assets included) of S$10,000 / US$ 7,625 / HK$ 60,000 for 90 days. Due to stock price fluctuations, the total asset value is allowed to drop by 30% from the stated amount. If you have any questions, please contact our online customer service team.

#Buy trade is defined as the action of buying of US stocks, SG stocks, HK stocks, ETFs or funds only. Selling of stocks, ETFs or funds is not considered as a buy trade. The minimum trade amount per transaction needs to be at least S$1.

Existing User Promotion

a. Participants of SeedlyFest who have made deposits into their Moomoo Singapore Universal account ("Moomoo SG Account") prior to the promotion period are eligible to participate in this promotion. ("Existing Users").

b. Existing users will be awarded the following rewards if they complete the following tasks outlined in the table respectively during the promotion period.

*The accumulated amount will be calculated based on your initial deposit method (either funds deposit or stock transfer). Please stick to one method to complete your deposit. The accumulated deposit amount is calculated based on the net deposit amount during the event period (Net Deposit Amount = Amount Deposited – Amount Withdrawn). Net deposit amounts are calculated per transaction on a daily basis.

**To be able to unlock and use the cash coupon, you must retain the assets in your account for 60 days after receiving the coupon. The account needs to maintain a daily asset balance of SGD 3,000 / 10,000 (calculation method: whether the daily assets for 60 days is ≥ S$3,000 / S$10,000, including cash and stocks and other assets are included). Due to stock price fluctuations, the total asset value is allowed to drop by 20% from the stated amount.

The maximum period for a user to fulfil the 60-day requirement is within the 90-day period. If you made a full withdrawal or more than 50% withdrawal of your initial deposit during the event period and/ or have not maintained the required amount during the 60 day period, the frozen cash coupon will not be unfreezed. Should the user withdraw more than 50% of the freshly deposited amounts within the event period, the cash coupon rewards will be deemed ineligible for redemption.

Section 2: SeedlyFest 2023 Moomoo SG Booth Activities

Activity Period

1. These activities will be held between 15 April 2023 at 0900 SGT and 15 April 2023 at 1830 SGT, both timings inclusive ("Activity Period").

2. These activities will take place only at the offline event, Seedly Personal Finance Festival 2023 ("SeedlyFest" or "Event"), and is applicable only to attendees of SeedlyFest ("Participants"). Online participants of this event, if applicable, shall not be eligible to participate.

Entries and Participation

A. Moomoo SG Claw Machine ("Activity A")

To participate in Activity A

a. Participants will be required to perform the following actions to earn 1 Claw machine Try ("Try") each. Each action can only be performed once and will have to be performed during the Activity Period.

    i. Submit a review for Moomoo SG via Seedly (https://seedly.sg/reviews/online-brokerages/moomoo-singapore/). The participant will have to be a Moomoo SG client to be eligible to participate in Activity A.

    ii. Open an account and deposit at least S$100 to the Moomoo SG Account. Eligible for new users only.

    iii. Make an accumulative minimum deposit of S$3,000 to the Moomoo SG Account. Eligible for existing users only.

    iv. Make an accumulative minimum deposit of S$5,000 to the Moomoo SG Account. Eligible for existing users only.

    v. Make an accumulative minimum deposit of S$10,000 to the Moomoo SG Account. Eligible for existing users only.

b. Tries earned shall be used for the sole purpose of participating in Activity A during the Activity Period and shall not be exchangeable for cash, credit or any other item, in part or in whole.

c. All unused tokens must be returned to the Moomoo SG by the end of the event.

d. Participants of Activity A are not guaranteed a prize.

e. The following are the prizes that are made available to Participants of Activity A ("Prizes"):

   ii. 1300 SGT – 1 Microsoft (MSFT) Share (worth ~S$280.51)

   iii. 1500 SGT – 1 Berkshire Hathaway-B (BRK.B) Share (worth ~S$305.30)

   iv. 1700 SGT – 1 Vanguard S&P 500 ETF (VOO) Share (worth ~S$368.69)

   *Prices may vary according to market conditions.

g. The prizes are subject to availability. Moomoo SG reserves the right to substitute it for other items without prior notice and without assigning any reasons for it.

h. The prizes are not exchangeable for cash, credit or any other item, in part or in whole.

i. Participants are required to provide their moomoo ID to the onsite Moomoo SG staff during the event to receive their prizes. Failure to do so will disqualify the participant from receiving the prize.

j. Participants receiving cash coupons (Sections 4.e.vii. and 4.e.viii) and stock prizes (Section 4.f.) shall be given a redemption code and a set of redemption instructions during the Activity Period. Participants are to enter the redemption code in the Redemption Centre of the moomoo App by 15 May 2023, 23:59 SGT. Failure to do so by the stated date will result in the loss of the prize and moomoo SG shall not be responsible for replacing it.

B. Moomoo SG Golden Ticket Giveaway ("Activity B")

To participate in Activity B

a. Only attendees who have received a Moomoo SG Golden Ticket ("Ticket") in their SeedlyFest Goodie Bag will be eligible to participate.

b. Recipients of the Ticket will be able to collect an Orange Moomoo SG Notebook ("gift") from the Moomoo SG booth during the Activity Period, after performing the following steps:

    i. Follow Moomoo SG on Instagram or Facebook (@moomoosingapore)

    ii. Flash the ticket and the social media account to any Moomoo SG staff at the Moomoo SG booth to verify and receive the gift. Failure to do so will disqualify the participant from receiving the prize.

    iii. The prizes are subject to availability. Moomoo SG reserves the right to substitute it for other items without prior notice and without assigning any reasons for it.

    iv. The prizes are not exchangeable for cash, credit or any other item, in part or in whole.

C. Moomoo SG SeedlyFest Side Stage Talk ("Activity C")

To participate in Activity C

a. Only attendees of the 15 April 2023, 12:45 SGT, SeedlyFest Side Stage "Investing in the future you with moomoo" Talk will be eligible to participate.

b. Spot the following image during the talk and snap a photo of it.

c. Follow and Like Moomoo SG on Facebook or Instagram (@moomoosingapore).

d. Share the image from Section 6.b. on your Facebook or Instagram and tag @moomoosingapore.

e. Flash the post to any Moomoo SG staff at the Moomoo SG booth to receive 1 Try at the Claw Machine in Activity A.

D. Moomoo “Keep CALM! and Invest” Game Season 2 ("Activity D")

To participate in Activity D

a. Activity D will commence on 15 April 2023 at 14:30 SGT.

b. 2 rounds of Activity D will be played. In each round, 2 persons selected from the crowd will play against each other. 3 questions will be asked and the first person to get 2 out of 3 correct answers will win the round.

c. Winners will receive a S$10 NTUC voucher during the Activity Period.

d. The prizes are subject to availability. Moomoo SG reserves the right to substitute it for other items without prior notice and without assigning any reasons for it.

e. The prizes are not exchangeable for cash, credit or any other item, in part or in whole.

1. Moomoo SG decisions on the Participant(s) and the prize(s) are final and no correspondence may be entertained.

2. Moomoo SG shall bear no responsibility for late delivery or non-delivery.

3. Moomoo SG reserves all rights till the end of the Activity Period to amend the rules of the Activities at any point in time without prior notice.

4. By participating in the Activities, Participants agree to be bound by these Terms and Conditions and the terms and conditions of any other agreement(s) that the respective Participant may have entered with Moomoo SG.

5. Moomoo SG reserves the right, in its absolute discretion, to disqualify/reject the Participant from this Activity for any reason whatsoever, including upon the occurrence of the following:

6. The Participant is deemed by Moomoo SG as not in good standing. If the client's account has been suspended temporarily or terminated by Moomoo SG due to any reason, the client will be disqualified from participating in these Activities.

7. Moomoo SG reserves the right to suspend, withdraw or terminate these Activities at any time for any reason whatsoever and without notice. Moomoo SG shall not be liable to any person for any loss or damage howsoever arising in connection with these Activities.

8. All Participants in these Activities expressly and irrevocably permit and authorise Moomoo SG to disclose, reveal and divulge information regarding their particulars to the parties involved in facilitating the Activity. Further, Moomoo SG reserves the right to reveal Participants' details, to the relevant authorities if it is requested to do so.

9. By participating in these Activities, participants hereby also agree and authorise Moomoo SG, to use at its discretion, without further compensation, fee, charge or other remuneration to the participants, to disclose and use any of their names, photographs, videos or any likeness of them for promotional, advertising, marketing and/or publicity purposes (where not prohibited by written law), and to the use of statements attributed to Participants of these Activities, and any rights in connection therewith.

10. The terms and conditions, rewards and offers in these activities/promotions are presented by Moomoo Financial Singapore Pte. Ltd. ("Moomoo Singapore"), a wholly-owned subsidiary of Futu holdings Limited. In Singapore, investment products and services available on moomoo are offered by Moomoo Singapore regulated by the Moneary Authority of Singapore (MAS). The moomoo App is a trading platform offered by Moomoo Technologies Inc., a wholly-owned subsidiary of Futu Holdings Limited.

11. Moomoo Singapore reserves all rights to terminate the activities/promotion or change terms and conditions, offers, rewards without prior notice. In the event of dispute, Moomoo Singapore reserves the right of final decision.

12. In the event of any inconsistency between these Terms and Conditions and any advertising, promotional, publicity and other materials relating to or in connection with these activities/promotions, these Terms and Conditions shall prevail.

13. Moomoo Singapore shall not be responsible for any injury, loss or damage suffered as a result of, or in connection with the activities/promotions and/or redemption or use of the prize howsoever arising, including but not limited to, fulfilment of the prize(s), any breakdown or malfunction in any computer system or equipment, any notice which is misdirected and/or lost in the post, loss of income, profits or goodwill, direct or indirect, incidental, consequential, exemplary, punitive or special damages of any party including third parties howsoever arising whether in contract, tort, negligence or otherwise. For the avoidance of doubt, cancellation, termination or suspension by Moomoo Singapore of these activities/promotions shall not entitle any party to any claim or compensation against Moomoo Singapore for any and all losses or damage suffered or incurred as a direct or indirect result of the act of cancellation, termination or suspension.

14. Any trademarks, graphic symbols, logos or intellectual property contained in any materials used in connection with these activities/promotions, in particular those relating to the activity/promotion prizes, are the property of their respective owners. Moomoo Singapore is not providing any financial advice, endorsements or sponsorships to their products or services.

15. No content herein shall be considered an offer, solicitation or recommendation for the purchase or sale of securities, futures, or other investment products.
