NOMAD TECH (08645.HK) announced that on December 24, 2021, the seller Advantage Sail Limited entered into a sale and purchase agreement with the offeror Thrive Harvest Limited. Accordingly, the seller agreed to sell and the offeror agreed to acquire the shares for sale, that is, 304 million shares, equivalent to about 50.63% of the total issued share capital, with a consideration of 60.75 million yuan, equivalent to 0.20 yuan per share for sale, a discount of about 64.91% compared with the closing price of 0.57 yuan before suspension.
Immediately after completion and as at the date of the announcement, the Offeror, Executive Director Yu Tak-Cai and anyone acting in concert with them had a total interest in 416 million shares, equivalent to approximately 69.38% of the total issued share capital. Therefore, upon completion, the offeror is required to make an offer for all issued shares in accordance with the Takeovers Code.
The entire issued share capital of Thrive Harvest Limited is held by Yu Decai. The entire issued share capital of Advantage Sail Limited is owned by the Chairman and Chief Executive Officer Tan Datuk. The offeror intends to maintain the listing status of the shares on the Stock Exchange after the offer closes.
