According to the memorandum of strategic cooperation, the main terms of cooperation are as follows:
1. Hengtai Group will cooperate with the Group to integrate sustainable development and low-carbon measures into its operation, so as to promote and achieve carbon neutrality. Hengtai Group and the Group aim to assist suppliers, customers, business partners and other stakeholders to adopt sustainable development measures to promote environmental, social and governance, natural solutions, green finance and responsible investment.
two。 The objective of the partnership arrangement is to provide (I) green technology advice and complementary green finance and responsible investment advice to our respective potential customers; and (ii) comprehensive, technical and sustainable carbon neutral natural solutions.
3. In order to achieve the above objectives more effectively, Hengtai Group and the Group will combine the application of blockchain technology and natural solutions, because we believe that blockchain technology is a necessary element for the establishment of quality carbon credit in a carbon trading market. the natural solution is a complete and sustainable approach to climate change and the establishment of a carbon offset mechanism.
4. With reference to the working Group on Climate-related Financial Disclosure and the working Group on Nature-related Financial Disclosure, the Group will assist Hengtai Group in developing its framework to enhance climate risk disclosure and climate change. In addition, the Group will assist Hengtai Group in improving its environmental, social and governance performance, reducing carbon emissions, setting up a carbon neutral blueprint and development strategies to capture new business opportunities brought about by climate change resilience.
5. Through this cooperation, Hengtai Group and the Group are committed to providing sustainable development and carbon neutralization consulting services to propose practical solutions for different customers to reduce carbon emissions from their operations.
6. The Group and Hengtai Group aim to promote the business generated by this strategic cooperation memorandum through regular webinars, training courses and industry activities to promote knowledge sharing on carbon reduction and enhance the sustainable development awareness of target customers.
The Memorandum of Strategic Cooperation will be valid for one year from December 28, 2021. Except for provisions relating to the period of the memorandum, the duty of confidentiality and miscellaneous provisions, the memorandum of strategic cooperation is not legally binding. The Group and Hengtai Group have agreed to conduct further negotiations in accordance with the business plans and objectives set out in the Memorandum of Strategic Cooperation. The Group and Hengtai Group will separately agree on their detailed rights and responsibilities when a formal implementation agreement (if any) is signed.
