The board of directors and all the directors of Ping An Insurance Insurance (Group) Co., Ltd. According to the Resolution on the consideration of Repurchase of shares of the Company adopted at the fourth meeting of the Twelfth session of the Board of Directors held on August 26th, 2021, the Company intends to use its own funds of not less than RMB 5 billion and not more than RMB 10 billion (both inclusive) to repurchase A shares of the Company at a repurchase price of not more than RMB82.56 per share (hereinafter referred to as the "repurchase"). All the shares in this repurchase will be used in the employee stock ownership plan of the Company, including but not limited to the long-term service plan which has been examined and approved by the shareholders' meeting of the Company, the repurchase period shall not exceed 12 months from the date on which the repurchase plan is examined and approved by the board of directors of the Company. (hereinafter referred to as the "Repurchase report") disclosed on the website of Shanghai Stock Exchange (www.sse.com.cn) on August 27th, 2021.
The Company implemented the first repurchase of A-shares (hereinafter referred to as the "first repurchase") through the Shanghai Stock Exchange trading system on August 27, 2021. In accordance with the detailed rules for the implementation of share Repurchase by listed companies on the Shanghai Stock Exchange, the Company hereby announces the first repurchase as follows:
The first repurchase purchased a total of 570416 A-shares of the company, accounting for 0.00312% of the company's total share capital. The total amount of funds paid is 29374125.64 yuan (excluding transaction fees). The lowest transaction price is 51.19 yuan per share, and the highest transaction price is 51.96 yuan per share.
The company will implement this repurchase in strict accordance with the relevant regulations and the Repurchase report, and fulfill the obligation of information disclosure in a timely manner.
