Over the past year, many Merck & Co., Inc. (NYSE:MRK) insiders sold a significant stake in the company which may have piqued investors' interest. The Last 12 Months Of Insider Transactions At Merck

The Executive VP & President of Merck Animal Health, Richard DeLuca, made the biggest insider sale in the last 12 months. That single transaction was for US$4.6m worth of shares at a price of US$105 each. That means that even when the share price was below the current price of US$131, an insider wanted to cash in some shares. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. It is worth noting that this sale was only 28% of Richard DeLuca's holding.

A high insider ownership often makes company leadership more mindful of shareholder interests. It's great to see that Merck insiders own 0.07% of the company, worth about US$223m. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
