100% Of This Gibraltar Industries Insider's Holdings Were Sold

Looking at Gibraltar Industries, Inc.'s (NASDAQ:ROCK ) insider transactions over the last year, we can see that insiders were net sellers. That is, there were more number of shares sold by insiders than there were purchased.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we do think it is perfectly logical to keep tabs on what insiders are doing.

Gibraltar Industries Insider Transactions Over The Last Year

The Independent Director, James Nish, made the biggest insider sale in the last 12 months. That single transaction was for US$281k worth of shares at a price of US$56.69 each. So it's clear an insider wanted to take some cash off the table, even below the current price of US$72.98. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. It is worth noting that this sale was 100% of James Nish's holding. James Nish was the only individual insider to sell over the last year.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Gibraltar Industries insiders own about US$19m worth of shares. That equates to 0.8% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

The fact that there have been no Gibraltar Industries insider transactions recently certainly doesn't bother us. Still, the insider transactions at Gibraltar Industries in the last 12 months are not very heartening. But we do like the fact that insiders own a fair chunk of the company.
