We wouldn't blame MRC Global Inc. (NYSE:MRC) shareholders if they were a little worried about the fact that Kelly Youngblood, the Executive VP & CFO recently netted about US$2.1m selling shares at an average price of US$13.60. Probably the most concerning element of the whole transaction is that the disposal amounted to 67% of their entire holding.

MRC Global Insider Transactions Over The Last Year

In fact, the recent sale by Kelly Youngblood was the biggest sale of MRC Global shares made by an insider individual in the last twelve months, according to our records. So it's clear an insider wanted to take some cash off the table, even slightly below the current price of US$13.64. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. We note that the biggest single sale was 67% of Kelly Youngblood's holding.

Insider Ownership

Many investors like to check how much of a company is owned by insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. MRC Global insiders own about US$22m worth of shares. That equates to 2.0% of the company. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

So What Does This Data Suggest About MRC Global Insiders?

Insiders sold stock recently, but they haven't been buying. And there weren't any purchases to give us comfort, over the last year. But it is good to see that MRC Global is growing earnings. While insiders do own shares, they don't own a heap, and they have been selling. So we'd only buy after careful consideration. So while it's helpful to know what insiders are doing in terms of buying or selling, it's also helpful to know the risks that a particular company is facing.
