On April 9, 2024, after review and approval by the board of directors of Anhui Hailuo Cement Co., Ltd., Anhui Hailuo Environmental Protection Group Co., Ltd., a non-wholly-owned subsidiary of the company, plans to register and issue medium-term notes of no more than RMB 3 billion (including RMB 3 billion), and the company will provide guarantees for them. Up to now, the above matters have not been reviewed and approved by the company's shareholders' meeting, and the company has not signed any guarantee agreement on the above matters.
Since other shareholders of Hailuo Environmental Protection Group were unable to provide counterguarantees to the company's guarantee, according to the “Notice of the Provincial State-owned Assets Administration Commission on Strengthening Financing Guarantee Management for Provincial Enterprises” (Anhui Asset Rights (2022) No. 34), which was reviewed and approved by the board of directors on May 16, 2024, the company decided to cancel the plan to provide a full joint liability guarantee guarantee for Hailuo Environmental Group's registration and issuance of medium-term notes, and the “Proposal on Subsidiary Companies Registering and Issuing Medium-Term Notes” submitted to the shareholders' meeting for consideration “Proposal for Anhui Hailuo Environmental Protection Group Co., Ltd. to register to issue medium-term notes”.
As of the date of disclosure of this announcement, the guarantee plan has not been implemented. The cancellation of the guarantee plan by the company did not harm the interests of the company and all shareholders, nor would it have a significant impact on the eligibility of Hailuo Environmental Group to apply for registration of medium-term notes.
