A partnership will be established in the form of a limited partnership. According to the partnership agreement, the total pledged capital of the partnership is RMB 1 billion, of which Qingdao Yiyang, the company, Hisense Vision, Hisense Holdings, Jia Shaoqian, Yu Zhitao and Dai Huizhong should invest RMB 1 million, RMB 340 million, RMB 170 million, RMB 90 million, RMB 10 million, RMB 10 million and RMB 10 million respectively.
The partnership will be mainly engaged in equity investment, investment management and asset management in the form of private equity funds. The partnership will not be recorded as a subsidiary of the company, and its financial results will not be consolidated into the company's financial results. According to the partnership agreement, Qingdao Yiyang, as the executive partner, shall be responsible for the execution, control and operation of partnership affairs in accordance with the duties and powers stipulated in the partnership agreement. Qingdao Yiyang will be the manager of the partnership. The partnership shall pay management fees to Qingdao Yiyang in accordance with the partnership agreement.
