Gelonghui, April 25, 丨 Guolian Securities (01456.HK) announced that on April 25, 2024, the company signed an agreement of intent with the main counterparty relating to potential acquisitions. The company plans to acquire shares of Minsheng Securities by issuing A-shares to obtain control of Minsheng Securities.

The company plans to acquire a total of 10,869,509,063 shares of Minsheng Securities held by the main counterparty by issuing A-shares to purchase assets, accounting for 95.48% of its total share capital. The scope of the underlying assets is still under negotiation; in the end, the formal agreement signed by the parties shall prevail.

The potential acquisition is a further implementation of the requirements of the Central Financial Work Conference, the State Council's “Certain Opinions on Strengthening Supervision and Risk Prevention to Promote High-Quality Development of the Capital Market”, and the China Securities Regulatory Commission's “Approval to Change the Major Shareholder of Minsheng Securities Co., Ltd.” Resource integration and business collaboration between Minsheng Securities and the company will promote the complementary advantages of the two companies and is of great significance in enhancing the company's overall competitiveness, investor return ability, and sustainable development capabilities.

In view of the uncertainty of the above matters, in order to ensure fair disclosure of information, protect investors' interests, and avoid causing abnormal fluctuations in the company's stock price, according to the relevant regulations of the Shanghai Stock Exchange and upon the company's application, trading of the company's A-share shares will be suspended from the opening of the market on April 26, 2024. It is expected that the suspension period will not exceed 10 trading days. Trading of the company's H shares listed on the Stock Exchange will continue.
