(003038.SZ) announced that the company held the 6th meeting of the 3rd board of directors and the 5th meeting of the 3rd board of supervisors on March 14, 2024, and the 2nd Extraordinary General Meeting of Shareholders in 2024 to deliberate and pass the “Proposal on Guarantee Amounts Provided by the Company to Subsidiaries” on April 1, 2024. It was agreed that based on the subsidiary's business development and market development situation, the company intended to provide a guarantee amount of no more than RMB 3.150 billion to subsidiaries included in the consolidated statement.
Recently, due to business development needs, Xinbo New Energy, a subsidiary of the company, applied for an e-banking acceptance of RMB 20 million at the Tianchang Branch of Agricultural Bank of China Co., Ltd. In order to ensure the implementation of the above agreement, the company provides Xinbo New Energy with a maximum joint liability guarantee. The maximum guaranteed principal amount is RMB 10 million. On April 18, 2024, the “Guarantee Contract” was signed.
As of the disclosure date of the announcement, the company's guarantee balance for Xinbo New Energy was RMB 312.032 million; the company's guarantee balance for all subsidiaries was RMB 209,61399 million.
