Immediately after completion, all prerequisites under the revised agreement were met and completed on April 17, 2024. The revised exchange price of the 2023 convertible notes with a principal amount of HK$209 million is HK$0.18 per share (subject to adjustment) and the revised early redemption clause gives Takayama and Jiahao the right to redeem all or part of the 2023 convertible notes at any time. They have been issued by Takayama to Jiahao in accordance with the terms under the amended contract.
