Gelonghui, April 15, 丨 China Aviation (600372.SH) announced that on April 14, 2024, China Guizhou Aviation Industry (Group) Co., Ltd. (“Guihang Group”) and its shareholder Guizhou Geke Aviation Electromechanical Co., Ltd. (“Geke Company”) jointly signed an “Absorption and Merger Agreement”, agreeing that Guihang Group will absorb and merge Geke. After this merger, the Guihang Group continued to exist and the shareholding structure did not change. Gaek was cancelled in accordance with the law, and all assets, liabilities, business and all other rights and obligations of Gaihang Group were assumed and inherited by Guhang Group in accordance with law.
Prior to this merger, Guihang Group did not hold shares in the company. Geke held 6,147,791 shares of the company, accounting for 0.13% of the company's total share capital; after this merger, Guihang Group will hold 6,147,791 shares of the company, accounting for 0.13% of the company's total share capital. This change in equity does not affect the proposed acquisition.
