Zhitong Finance App News, CGN Power (01816) issued an announcement. The company recently received a notice from Guangdong Hengjian Investment Holdings Co., Ltd. (“Hengjian Investment”), the shareholder holding 5% or more of the company's shares, that Hengjian Investment plans to issue non-public exchangeable corporate bonds (“this exchangeable bond”) based on some of the company's A shares held by it, and has obtained the “Letter of Unobjection Concerning Guangdong Hengjian Investment Holdings Co., Ltd.'s non-public offering of exchangeable corporate bonds to meet the conditions for listing on the Shenzhen Stock Exchange” (Shenzhen Securities [2024] 264), hereinafter referred to as “No objection “Letter”) The “Letter of No Objection” is valid for 12 months from the date it is issued. According to the “No Objection Letter”, Hengjian Investment plans to raise no more than RMB 2 billion (including RMB 2 billion) of capital in this non-public offering of exchangeable corporate bonds. During the validity period of the “No Objection Letter”, Hengjian Investment will choose to issue, partially issue or not issue this exchangeable bond according to its own funding arrangements and market conditions.
As of the date of this announcement, Hengjian Investment held approximately 3.429 billion shares of the company, accounting for 6.79% of the company's total share capital. Hengjian Investment's issuance of this exchangeable bond will not cause changes in the controlling shareholder and actual controller of the company.
