Gelonghui, April 9 | EPS Chuangjian Technology (03860.HK) announced that on April 9, 2024, the company (i) entered into a subscription agreement A with subscriber A KIRABOSHI CONSULTING CO., LTD. According to this, the company has agreed to allocate and issue and subscriber A has already agreed to subscribe for 1.08 million new shares at a subscription price of HK$0.992 per share; and (ii) entered into a subscription agreement B with the subscriber B OHMI LLC (existing contract company Omi), according to the company's terms Subscriber B agreed to the allotment and issuance, and Subscriber B agreed to subscribe for 12.1 million new shares at a subscription price of HK$0.992 per share.
The subscribed shares are equivalent to (i) approximately 4.4% of the total number of shares issued at the date of this announcement; and (ii) approximately 4.2% of the total number of shares expanded through allotment and issuance of subscribed shares immediately after completion.
The total proceeds from the issuance of subscribed shares are estimated to be HK$22.0 million, and the net proceeds from the issuance of subscribed shares will be approximately HK$21.8 million. The Company intends to use the proceeds as the Group's general working capital.
