Zhitong Finance App News, New Focus (00360) announced that on April 3, 2024, the company's indirect wholly-owned subsidiary Newfox (Beijing), the general partner, and the current partner (Lin Baowen and 11 individuals) of the limited partnership entered into a partnership agreement. Based on this, Newfox (Beijing) and general partners each agreed to invest RMB 55 million and RMB 85 million in limited partnerships (Shihe Ziyi Ke Equity Investment Partnership (Limited Partnership)) with approximately 29.03% equity and approximately 44.8% of the equity interest.
Since the purpose of the investment is mainly indirect investment in Shenzhen Yitaiji, Shenzhen Yitaiji, Xiamen (controlling shareholder of Shenzhen Yitaiji), and Lin Baowen (controlling shareholder of Xiamen ECO and general partner of the limited partnership) signed cooperation agreements with Newfox (Beijing) and the limited partnership on April 3, 2024. The cooperation agreement outlines various protective measures that will benefit Newfox (Beijing) and/or the limited partnership, including performance commitments, put options, anti-dilution rights, priority subscription rights, priority purchase rights, and concurrent sales rights.
According to reports, limited partnerships are mainly engaged in equity investment in listed and unlisted companies, and are one of the employee shareholding platforms of Shenzhen Yitaiji. As of the date of this announcement, the general partner of the limited partnership is Lin Baowen, and the limited partners are 11 current and/or former employees of Shenzhen Yitaiji Group. The main assets held by the limited partnership are its shareholding of approximately 18.08% of Shenzhen Yitai's shares and 0.47% interest in Jinlitai (a company listed on the Shenzhen Stock Exchange).
