Zhitong Financial App News, Goldwind Technology (02208) announced that Goldwind New Energy South Africa Energies Limited (“Goldwind New Energy South Africa”), a South African holding subsidiary of Goldwind International Holdings (Hong Kong) Limited (“Goldwind International”), a wholly-owned subsidiary of the company, and South African energy company Ummbila Yeni (RF) Emo Limited (“Ummbila”) “SPV”) signed the “Wind Farm Project Design, Procurement and Construction Contract”, and Goldwind New Energy South Africa is responsible for the design, procurement and construction of the project.
As Ummbila SPV's contractor, Seriti Green Asset Management Limited (“SGAM”) is responsible for the operation and maintenance of the above wind power projects after completion. Goldwind Energy South Africa and SGAM signed a “Long-term Operation and Maintenance Service Contract”, and Goldwind New Energy South Africa will provide them with long-term operation and maintenance services.
Goldwind Technology and Goldwind International have each signed a “Parent Company Guarantee Agreement” to jointly guarantee Goldwind Renewables South Africa's performance and liability for breach of contract under the “Wind Farm Project Design, Procurement and Construction Contract” and the “Long-term Operation and Maintenance Service Contract”. Among them, the guarantee amount under the “Wind Farm Project Design, Procurement, and Construction Contract” does not exceed about 540 million yuan, 1807.918 million US dollars, and 1,706 billion rand (equivalent to about RMB 1.31 billion in total). The guarantee period is from the date the guarantee agreement is signed until 5 years after the completion and handover of the project; the guarantee amount under the “Long-term Operation and Maintenance Service Contract” does not exceed RMB 41.26.25 million and R101 million (equivalent to a total of RMB 79.208 million). The guarantee period is from the date the guarantee agreement is signed to Goldwind New Energy Until South Africa has fulfilled all of its obligations under the Long-term Operation and Maintenance Service Contract.
