In order to reduce foreign exchange risk and enhance financial soundness, Shenzhen Haipuri Pharmaceutical Group Co., Ltd. plans to carry out foreign exchange derivatives transactions with a total amount of not more than 350 million US dollars (or foreign currency equivalent) for the purpose of hedging, which will be valid for 12 months from the date of review and approval by the company's board of directors. The above amounts can be used on a rolling basis during the approval period. During the validity period, the company and its subsidiaries within the scope of the consolidated statement carry out foreign exchange derivatives trading business, and the balance at any point does not exceed 350 million US dollars (or foreign currency equivalent) (including the amount associated with retrading the proceeds of the aforementioned transactions). The maximum amount of transaction security deposit and premium that is expected to be used (including the value of collateral provided for the transaction, the credit limit expected to be occupied by the financial institution, the security deposit reserved for emergency measures, etc.) does not exceed 35 million US dollars (or the equivalent in foreign currency). If the duration of a single transaction exceeds the authorization period, the authorization period is automatically postponed until the transaction is terminated. Trading types include forwards, swaps, options and related portfolio products. The company's foreign exchange derivatives trading business is handled by financial institutions that have been approved by the State Administration of Foreign Exchange and the People's Bank of China and are qualified to operate.
