Considering that there was no significant progress in the proposed acquisition under the Memorandum, the contracting parties agreed to terminate the Memorandum. According to the termination agreement, the Memorandum will cease to be valid and effective from the effective date of the termination agreement (that is, the date of this announcement), and the contracting parties will not be liable to each other for any matter arising out of the Memorandum.
