According to Zhitong Finance App, Yaju Investment Holdings (08426) and the offender jointly announced that at 4:00 p.m. on March 26, 2024 (Tuesday) (that is, the last time and date of acceptance of the share offer as contained in the comprehensive document), the offeror had received valid acceptance of a total of 214 million shares of the offer involved in the share offer, which is equivalent to approximately 26.72% of the total issued share capital of the Company as of the date of this joint announcement.
Immediately after the end of the share offer, the share registrar officially registered the transfer of the offer shares purchased by the offender in accordance with the share offer, 32.35 million shares (accounting for about 4.04% of the total number of shares issued on the date of this joint announcement) were held by the public. As a result, as of the date of this joint announcement, the company failed to comply with the 25% minimum public shareholding requirement set out in section 11.23 (7) of the GEM Listing Rules.
