The shareholding scale of the employee stock ownership plan did not exceed 16.021.25 million shares, accounting for about 2.39% of the company's total share capital of 66,958.14.8 million shares on the day the draft employee shareholding plan was announced.
The maximum amount of capital to be raised in this employee stock ownership plan is 46,29414.77 million yuan. The funding sources are incentive funds calculated by the company, employees' own funds, and other methods permitted by laws and regulations. The total amount of self-funded funds raised by employees in this employee stock ownership plan is not more than RMB 180.2 million.
The scope of participants in this employee stock ownership plan is directors, supervisors, senior management personnel and other core personnel (hereinafter referred to as “holders”) of the company or the company's holding subsidiary. The total number of holders at the time of initial establishment was no more than 600. The specific number and list of participants will be determined according to the actual situation.
The employee's shareholding plan will transfer the company's shares repurchased by the company through non-transactional transfers and other methods permitted by laws and regulations. The transfer price is 28.93 yuan/share, which is 90.00% of the closing price of the company's stock on the day the company considers the employee's shareholding plan.
The employee's stock ownership plan lasts no more than 10 years. The target shares are subject to different lock-up periods depending on the source of funding, all calculated from the date the company announced the last transfer of the underlying stock to the employee's shareholding plan.
