Gelonghui, March 22丨Bomin Electronics (603936.SH) announced the 2024 employee stock ownership plan. The shares in the employee stock ownership plan are shares repurchased from the company's special account, that is, 13,690,300 shares repurchased by the company between October 2023 and February 2024, accounting for 2.15% of the company's current total share capital. After review and approval by the shareholders' meeting, the employee's shareholding plan will obtain the company's shares held in the company's special securities account through non-transactional transfers and other methods permitted by laws and regulations.
The total number of shares involved in the employee's shareholding plan shall not exceed 10% of the total share capital of the company, and the number of company shares corresponding to the employee's shareholding plan share held by a single holder shall not exceed 1% of the total share capital of the company. The total number of shares held by the employee stock ownership plan does not include shares acquired by employees prior to the company's initial public offering, shares purchased through the secondary market, shares obtained through equity incentives, and shares obtained through asset restructuring.
The employee's shareholding plan transferred the company's share repurchase price is 4.80 yuan/share, and the purchase price is not lower than the higher of the following criteria: (1) 50% of the average trading price of the company's stock on the trading day before the announcement of the employee's shareholding plan, or 4.46 yuan/share; (2) 50% of the average trading price of the company's stock trading on the 120 trading days before the announcement of the employee's shareholding plan, or 4.63 yuan/share.
