Numerous Laureate Education Insiders Sold Stock: Not A Positive Omen

Simply Wall St ·  Mar 4 09:01

A number of Laureate Education, Inc. (NASDAQ:LAUR) insiders sold their shares in the last year, which may have raised concerns among investors. When evaluating insider transactions, knowing whether insiders are buying versus if they selling is usually more beneficial, as the latter can be open to many interpretations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Last 12 Months Of Insider Transactions At Laureate Education

Over the last year, we can see that the biggest insider sale was by the Executive VP & COO, Marcelo Cardoso, for US$302k worth of shares, at about US$11.95 per share. That means that an insider was selling shares at slightly below the current price (US$13.50). We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. It is worth noting that this sale was only 24% of Marcelo Cardoso's holding.

Insider Ownership

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. I reckon it's a good sign if insiders own a significant number of shares in the company. It appears that Laureate Education insiders own 1.0% of the company, worth about US$21m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.
