Possible Bearish Signals With Carter's Insiders Disposing Stock

The fact that multiple Carter's, Inc. (NYSE:CRI) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, if numerous insiders are selling, shareholders should investigate more.

While insider transactions are not the most important thing when it comes to long-term investing, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At Carter's

In the last twelve months, the biggest single sale by an insider was when the Chairman & CEO, Michael Casey, sold US$4.4m worth of shares at a price of US$75.00 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$80.95. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. We note that the biggest single sale was only 13% of Michael Casey's holding.

Insiders At Carter's Have Sold Stock Recently

The last quarter saw substantial insider selling of Carter's shares. In total, Chairman & CEO Michael Casey sold US$4.4m worth of shares in that time, and we didn't record any purchases whatsoever. Overall this makes us a bit cautious, but it's not the be all and end all.

Insider Ownership

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. We usually like to see fairly high levels of insider ownership. It appears that Carter's insiders own 2.6% of the company, worth about US$77m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
