According to the Zhitong Finance App, Qianbaidu (01028) and the offender Orchid Valley Holdings Limited jointly announced that at 4:00 p.m. on February 19, 2024, the offeror had received effective acceptance of approximately 717 million shares (accounting for about 34.51% of all issued shares on the date of this joint announcement) in accordance with the offer.
Immediately after February 19, 2024, and taking into account the effective acceptance submitted under the offer (pending completion of the transfer of such shares to the offeror), along with shares owned or acquired or agreed to be acquired before or during the offer, the offeror held, controlled, or directed approximately 820 million shares (accounting for approximately 39.50% of all issued shares on the date of this Joint Announcement); and the offeror and those acting in concert with the offeror jointly held, controlled or directed approximately 1,256 million shares (approximately 60.48% of all shares issued on the date of this Joint Announcement).
The offeror has decided to further extend the offer until 4:00 p.m. on March 4, 2024 (Monday) (or such other time and/or date as may be determined and announced by the offeror in accordance with the Takeovers Code) to provide additional time for shareholders to accept the offer.
