On February 5, Gelonghui Medical (002432.SZ) announced that the company plans to use its own funds to repurchase some of the company's public shares (hereinafter referred to as “this repurchase”) through centralized bidding transactions through the secondary market. The total capital of this repurchase is not less than 600 million yuan (inclusive) and no more than 1.2 billion yuan (inclusive). The price of the shares to be repurchased is no more than RMB 45 per share (inclusive). If calculated based on the maximum amount of repurchase capital and the maximum price of shares to be repurchased, the estimated number of shares that can be repurchased is about 26,666,667 shares, accounting for 5.46% of the company's current total share capital; based on the lower limit of total repurchase capital and the maximum price of shares to be repurchased, the estimated number of shares that can be repurchased is about 13,333,333 shares, accounting for about 2.73% of the company's current total share capital.
The share repurchase was used to protect the company's value and shareholders' rights and reduce registered capital. Of these, the total capital for share repurchases to protect the company's value and shareholders' rights was not more than 365 million yuan. The implementation period was no more than 3 months from the date the company's board of directors reviewed and approved the final share repurchase plan; the total capital for share repurchases cancelled to reduce registered capital was not less than 235 million yuan. The implementation period was no more than 12 months from the date the company's shareholders' meeting considered and approved the repurchase plan.
