Gelonghui, Feb. 2: Shiming Technology (300522.SZ) announced that Mr. Lu Shiming, the controlling shareholder and actual controller of the company, and Ms. Wang Min, and Kunshan Shiming Investment Co., Ltd. (hereinafter referred to as “Shiming Investment”) signed a “Share Transfer Agreement” with Jiangsu Fenghui New Energy Development Co., Ltd. (hereinafter referred to as “Jiangsu Fenghui”) on January 30, 2024. Mr. Lu Shiming, Ms. Wang Min, and Shiming Investment intend to transfer a total of 32,771,090 shares of the company's total share capital (of which 10.3161%): Lu Mr. Shi Ming transferred 24,630,590 shares to Jiangsu Fenghui, accounting for 7.6385% of the company's total share capital; Ms. Wang Min transferred 5,103,000 shares to Jiangsu Fenghui, accounting for 1.5826% of the company's total share capital; Shiming Investment transferred 3,037,500 shares to Jiangsu Fenghui, accounting for 0.9420% of the company's total share capital).
On January 30, 2024, Mr. Lu Shiming, Ms. Wang Min, and Shiming Investment signed a “Voting Rights Waiver Agreement” with Jiangsu Fenghui. Actors Li Jiangping, Wang Ruihong, Cao Xinchun, Cao Xinxing, Wan Qiang, and Wang Yuting issued the “Voting Rights Waiver Pledge”, promising to relinquish their voting rights corresponding to the remaining 105,407,909 shares of Shiming Technology (32.6895% of the company's total share capital) during the abstention period. Therefore, after the transfer was completed and voting rights were relinquished, Mr. Lu Shiming and his co-actors held a total of 105,407,909 shares of the company, accounting for 32.6895% of the company's total share capital, and voting shares accounted for 0.0000% of the company's total share capital. After the equity change is completed, Jiangsu Fenghui will hold a total of 54,745,823 shares of listed companies, with a shareholding ratio of 16.9780%, which will control the listed companies.
After the transfer is completed, the controlling shareholder and actual controller of the company will be changed. The controlling shareholder of the company will be changed to Jiangsu Fenghui, and the actual controller of the company will be changed to Mr. Lu Yong.
