Zhitong Finance App News, Meigaoyu (01985) issued an announcement on matters relating to Weiye Holdings Group Limited's acquisition of 35 million shares of the company.
The board of directors was informed by Mr. Wang that through a replacement agreement (deeds) made by Weiye Holdings (original buyer), Wang Guangbo (new buyer) and Microware Holdings (seller) dated February 2, 2024, he assumes Weiye Holdings' rights, obligations, duties and responsibilities under the sales agreement and will acquire the shares to be sold in his personal name rather than through Weiye Holdings. Furthermore, as a result of the amendments to the deeds, the transfer of 17.5 million shares to be sold will be completed no later than February 15, 2024 (partial completion), while the transfer of the remaining 17.5 million shares to be sold will be completed no later than March 28, 2024.
Mr. Wang further advised that apart from the above changes in the buyer's entity and completion date, the sale agreement will remain in full force and effect in all aspects.
Following partial completion, assuming that the company's shareholding structure remains unchanged from the date of this announcement to the day of partial completion, Mr. Wang (personally and through Weiye Holdings) and Microware Holdings will hold interests in 60 million shares and 20.804 million shares respectively, accounting for about 20% and 6.94% of the company's total issued share capital. As a result, after partial completion, Microware Holdings will no longer be a major shareholder of the company (within the meaning given by the listing rules).
